All orders are subject to standard terms and conditions of sales as briefly described below:
Ordering Procedure
We, also stated hereby as the company (Worldwide Technologies) accepts orders in writing by fax, post, e-mail, via our website or by prior arrangement through other electronic means. Our standard sales terms shall be applicable irrespective of how the order is placed. Generally we do not have any minimum order level.
Product Range
Our continued aim is to provide the most unique range of technological equipments to our customer. Our stock of products is generally updated regularly and should any product be required that is not found on our website then, we would ask you to contact our sales department. We will endeavor to notify all our customers as and when new products become available. All products posted on our website are approved for use in India. However, certain products may require license from concerned authorities.
Price
The prices quoted are always current and doesn't vary normally however, they are subject to change without notice due to unavoidable circumstances. In that case, we reserve the right to increase the price of goods at any time up to the date of dispatch.
Payment Terms
Usually we accept not less than 100% payment in advance along with the order. It could be send by T/T, Demand Draft or via electronic transfer.
When agreed in writing then, credit account customers will receive a maximum of 30 days payment terms from the date of invoice. Such payment is to be received by the company no later than 30 days from the date of invoice or they will invoke our credit infringement terms as written on the back of invoice.
Supply of Goods
You are referred to our terms and conditions of sale as herein stated. All orders taken by us are subject to these terms and you should not place any order or any further order, or enter into any supply contract with the company unless and until you have read and understood our terms and conditions which will bind you in any business undertaken with us. You are deemed to accept our terms and conditions on taking delivery of the goods ordered. All orders, howsoever placed, including, but not limited to by mail or fax on company letterhead or notepaper, by e-mail from a company or organisation, or by electronic means, will be legally binding on the company, organisation or individual by whom they have, in the sole view of the company, been placed, and as such will be subject to these terms & conditions.
In the event that you do not accept or wish to accept our terms and conditions, then all goods must be returned to us unopened as received and unused, with full original packaging and instructions, carriage paid, fully insured, within three working days from the date of receipt of the goods, without prejudice, however, to our rights against you for any resultant breach of contract. Any goods not returned within that period, for whatever reason, are deemed accepted by you in accordance with our terms and conditions by which you will be fully bound.
Delivery Schedule
The company shall use their best endeavors to have the goods ready for dispatch from their work within the period started which shall be from the date of receipt of customer's order. However, the company does not accept any responsibility for delay due to non availability of raw material or transport, strikes lockouts war, accident or any other contingencies beyond their control and in no case shall delay be a ground for rejecting the goods. The company retains the option to deliver the ordered goods in one lot or in separate lots unless otherwise agreed expressly to by them in writing. Where delivery is made in installments, each installment delivered shall be deemed to be sold under a separate contract, Defective deliveries of one or more installments shall not entitle the customer to repudiate the contract with regard to any installment remaining deliverable.
Warranty
We does provide support in accordance with the manufacturer offer of twelve months warranties relating to their own product but it all depend on respective manufacturer's warranty terms. Many products also come with optional maintenance packages. Customers are strongly advised to consider the terms of the product warranties and their implications before ordering goods. The manufacturers warranty period is clearly indicated in the catalogue for each product and it is the customer's sole responsibility to be aware of the conditions of such warranties. Information on warranties is available on request.
Goods Return Procedure
Products once sold are neither taken back nor exchangeable with other goods. However all returns arising due to faulty product, wrong delivery of goods or likewise, are subject to authorised returns procedure as per the subsequent policy of the concerned principal(s).
Cancellation of
Orders
Any cancellation of goods ordered must be notified to us, in writing, before the goods are manufactured by our principals and /or dispatched. No cancellation of order will be accepted after that. Verbal notification is not acceptable. Failure to notify us about the cancellation of orders in time will result in a handling charge 25% of the total order cost.
Claims
Any claim regarding discrepancies in the quality of the goods will not be entertained unless the claim is made in writing within one month from the date of dispatch of material by the company or with in seven days from the date of receipt by the customer, whichever is earlier. A further condition regarding admissibility of claim is the fact that buyer will have to store the goods in responsible condition.
Loss in Transit
It is the sole responsibility of the customer to ensure that all goods ordered from the company are fully insured against any eventuality including, but not limited to, fire, theft, flooding, etc, until such time ownership of said goods has passed to the customer. All the required insurance procedures can be taken up by the company but at its sole cost to the customer. Should goods become damaged in any way after they have been dispatched by the company then, all claims can only be sought by the customer from the respective insurance company or transit media.
Force Majeure
Worldwide Technologies shall not be liable to the customer for any failure to perform its obligations due to any circumstances beyond its control (including, without limitation, strikes, lockouts, industrial disputes, failure of power supplies, firm or company, delays caused by any manufacturer of the goods, riots, civil disturbances, war or warlike activity, embargo, fire, explosion, flood or natural causes) and in such event we may elect by written notice to cancel any agreement with the customer or elect that the time for performance shall be extended until such time as we can reasonably effect performance.
Limit of Liability
Except in respect of death caused by the company's negligence the company shall not be liable to the buyer by reason of any representation or implied warranty condition or other term for any duty at common law or under the express terms of the contract for any consequential loss or damage (whether for loss of profit or otherwise) costs expenses or other claims or consequential compensation whatsoever whether caused by the negligence of the company its employees, representatives, agents or otherwise which arise out of or in connection with the supply of goods or the use or resale of such goods by the buyer. In any case the company's liability shall not exceed the original purchase price of the goods. We understand the buyers are buying the items for legitimate usage. However, we take no responsibility for any illegal use of the products by the buyer.
Jurisdiction
Any dispute arising out of the contract shall be settled in court of competent jurisdiction located within the municipal limits of Dehradun in India.
